Please read these terms carefully before using genval.ai's services
1. Acceptance of Terms
By accessing or using genval.ai's services, including our website, console, and AI-powered tools, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.
2. Description of Services
genval.ai provides AI-powered code generation, refactoring, and development tools. Our services include, but are not limited to:
- Derivative Centric Development (DCD) tools
- Code migration and modernization services
- Industry-specific AI solutions
- Cloud strategy consulting
3. User Responsibilities
When using genval.ai's services, you agree to:
- Provide accurate and complete information when creating an account
- Maintain the security of your account credentials
- Use our services in compliance with all applicable laws and regulations
- Respect the intellectual property rights of others
4. Intellectual Property
The content, features, and functionality of genval.ai's services are owned by Genval LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5. User Data and Privacy
genval.ai respects your privacy and the confidentiality of your data. We do not share or sell users' data. You are in control of your data and can delete any resources in your account at any time. You may also request to have your account deleted. We do not store your source code; when refactoring, we only use the required code included in a task scope pattern for the duration of a task execution. Task executions run in a private, secure environment. Files used in the refactor process are stored in temporary data and deleted when the task execution ends.
All information is handled with encryption in transit and at rest. We employ best practices in Role-Based Access Control (RBAC) for task execution, ensuring that only the minimum permissions needed to complete an execution are granted.
6. Third-Party Services
genval.ai uses the following third-party services in providing our solutions:
- Amazon Bedrock: We use Amazon Bedrock for some task execution aspects. Amazon Bedrock is used in a secure environment, and none of the information used is accessible to Amazon or the underlying model provider, such as Anthropic. Amazon Bedrock with Anthropic doesn't use customer data to train their models, which is one of the reasons we use this model provider.
- OpenAI: We use OpenAI for some image generation use cases. In these cases, we use anonymous high-level depictions of resources that use visualization.
- Stripe: We use Stripe as our third-party payment processor for handling subscriptions and payments.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Genval LLC and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the services;
- Any conduct or content of any third party on the services;
- Any content obtained from the services; and
- Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract,tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Modifications to Terms
genval.ai reserves the right to modify these Terms of Use at any time. We will notify users of any significant changes via email or through our website.
9. Termination
genval.ai reserves the right to terminate or suspend access to our services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Use.
10. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Oregon, United States of America, without regard to its conflict of law provisions.
11. Payment Terms and Pricing
genval.ai uses Stripe as our third-party payment processor. Subscriptions can be canceled at any time. Users are responsible for selecting their desired subscription level and for canceling their subscription when they no longer wish to use the service. All prices are subject to change with notice. Refunds are handled on a case-by-case basis.
Subscriptions are billed monthly in advance. The currency used for all transactions is USD (United States Dollars). If payments fail, account subscriptions will be paused or canceled. The minimum subscription period is 1 month.
12. Service Availability and Uptime
We strive to uphold a 99.99% service availability level. Our system architecture is highly available, built on modern cloud architecture with redundant compute and storage across multiple availability zones. While we aim to achieve this level of uptime, it is not guaranteed for standard accounts. Enterprise customers may obtain a guaranteed Service Level Agreement (SLA) through custom contracts.
13. Account Creation and Management
Users are required to verify their accounts at account creation through email verification. Each user account is intended for a single user. Users may create Organization accounts and share them with other users, but resources consumed are always billed to the individual that executed the task consuming the resources. Users can reset passwords if forgotten, but will need to go through the verification process again.
14. Acceptable Use Policy
Users agree not to misuse genval.ai's services or help anyone else do so. Misuse includes, but is not limited to:
- Attempting to access, tamper with, or use non-public areas of the genval.ai platform
- Probing, scanning, or testing the vulnerability of any system or network
- Breaching or otherwise circumventing any security or authentication measures
- Accessing, searching, or attempting to access or search the services by any means other than our publicly supported interfaces
- Interfering with, or disrupting, the access of any user, host or network
15. Dispute Resolution
In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.
16. Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GENVAL LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. GENVAL LLC MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.
17. Force Majeure
Genval LLC shall not be liable for any failure or delay in performance under these Terms of Use to the extent said failures or delays are proximately caused by causes beyond that party's reasonable control and occurring without its fault or negligence, including, without limitation, failure of suppliers, subcontractors, and carriers, or party to substantially meet its performance obligations under this Agreement, provided that, as a condition to the claim of non-liability, the party experiencing the difficulty shall give the other prompt written notice, with full details following the occurrence of the cause relied upon.
18. Intellectual Property License
Subject to these Terms, genval.ai grants you a limited, non-exclusive, non-transferable, and revocable license to use our services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the services as provided by genval.ai, in the manner permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
19. Definitions
To ensure clarity, we define the following key terms:
- Task: A single prompt where you provide instructions for an AI to make changes to a set of files you've included.
- Process: A chain of tasks, useful for putting together a pipeline that uses Derivative Centric Development techniques.
- Execution: The act of running a task or process, with details stored in an execution record.
- Derivative Centric Development (DCD): A development process that uses AI to develop code assets based on human-authored definitions or specifications.
